- The customer registration terms and conditions ("T&Cs") contain the complete terms and conditions that govern your relationship with LOTS Wholesale Solutions (CP Wholesale India Pvt. Ltd.) (hereinafter referred as "LWS"), for the purpose of your access to / purchase of products from LWS store ("Store"). The T&Cs shall be effective from the date of execution of the T&C by you.
- By accessing / making purchases from the Store, you shall deemed to be making an affirmative statement of your acceptance of below mentioned terms of T&Cs:
- You acknowledge and confirm that the products being purchased by you from the Store are only for resale, trade, commercial, professional, institutional and/or industrial use and not for personal consumption and you have all the necessary permits, licenses, certifications etc. as required under applicable laws for sale and purchase of all such products. Accordingly, you may only register with LWS provided you intend to purchase and use the products for the said purpose only and not for any personal use, except as provided under law.
- To become a member of LWS, you shall be required to present either of following document(s) evidencing (i) applicable tax registration or (ii) trade licenses i.e. a license/registration certificate/membership certificate/registration under Shops and Establishment Act, issued by a Government Authority/Government Body/Local Self-Government Authority, reflecting that you hold the license/ registration certificate/ membership certificate, as the case may be, and are engaged in a business involving commercial activity; or (iii) permits/license etc. for undertaking retail trade from Government Authorities/Local Self Government Bodies; or (iv) are an institution having certificate of incorporation or registration as a society or registration as public trust. Additionally, you shall be required to submit a copy of valid permanent account number card (PAN Card) issued as per Income Tax Act, 1961 (in the absence of PAN - declaration in Form 60) and such other supporting documents as requested.
- You shall be responsible to ensure that the documents provided by you are valid and subsisting during the entire engagement with LWS as registered member. You hereby acknowledge and certify that the documents provided by you are authentic, true and accurate. In case of any misrepresentation, you shall be solely liable and responsible and LWS may take action as per applicable laws, including termination of your membership. Upon receipt of any of the above mentioned documents and completion of verification thereof, LWS shall issue a valid registration card for you at its sole discretion ("Registration Card").
- For registered members applying for add on cards: You acknowledge that only 1 additional card shall be issued to your authorised representatives for making purchases on your behalf. You agree and undertake to provide accurate information and valid legal documents including but not limited to, an authorisation letter/board resolution, for such additional member ("Add on Members") as may be required by LWS under this form and also from time to time. Upon due verification of documents, LWS shall issue an additional card to your authorized representative at its sole discretion.
- You acknowledge and agree that your authorised representative (registered with LWS) only shall be permitted to enter the Store. Each time your authorised representative visits a Store, such representative shall carry the Registration Card, in absence of which, entry to Store shall be barred. Only one person shall be allowed to accompany the authorised representative to the Store.
- The sale price indicated in respect of the products are inclusive of local taxes. You agree to pay applicable taxes in case of any change in the tax rate leading to change of sale price. LWS shall charge taxes basis the address mentioned on GST registration certificate/ address provided by you at time of registration. LWS shall be entitled to recover any liability arising on account of any wrong declaration by you.
- Except otherwise provided, you shall be responsible for movement of products to the address mentioned on the invoice along with complete documents including e-way bills. Upon your request, LWS may at its sole discretion provide support/ documentation for movement of such products.
- LWS shall not accept any payment in cash exceeding INR 195,000 per day for a transaction, or in its account. In case of breach such amount shall be forfeited by LWS without any prior intimation.
- LWS reserves the right to reject a membership application without assigning any reason(s) either to an entity/person or any of its authorised representative.
- You agree not to make purchases from Store for personal use, except for members registered under para. 2(iv) above. You acknowledge and agree that in case it comes to the notice of LWS that purchases from Store are made for personal use, LWS shall have the right to terminate your registration forthwith.
- The Registration Card is the sole property of LWS. In case of termination of this T&Cs you shall be required to return the same. You shall immediately notify LWS in case of: (a) loss of the Registration Card; or (b) change of your authorised representative; (c) winding up of your business; or (d) change of ownership of your business; or (e) expiry of documents provided per para. 2 above for registration.
- LWS reserves right to admission. LWS reserves the right to restrict the entry of children below the age of 8 (eight) years on account of safety and security reasons. In case you bring any person below 18 (eighteen) years of age to the Store, the same shall be at your sole responsibility and LWS shall not be responsible or liable for any consequences including but not limited to any accident, injury or hurt caused as a result thereof.
- The Store may, from time to time, set up minimum invoice limits, you agree to abide by the same. You agree that prices of the products are subject to change without any prior intimation.
- You agree that your entitlement to warranty shall be governed by the terms of products purchased from Store. In case the product bought by you is damaged; exchange, replacement or refund for such damaged product shall be governed by the Store exchange & return policy.
- Your payment for the product constitutes confirmation of receipt of the product and that the product is without any defect.
- Stores may have paid or unpaid parking spaces to facilitate the parking of your vehicle. In case you avail the facility of parking, you agree that such parking of vehicle shall be at your own risk and you will not hold LWS liable for any damage or loss of vehicle thereof and you shall keep LWS indemnified against any loss, damage or claim of any third party loss arising thereof.
- This T&Cs is valid unless terminated by LWS. LWS shall have the right to terminate without assigning any reason thereof. Any loss of business suffered by you due to termination, will be your sole responsibility and cost. Termination by LWS shall not require any notice and/or refund. In case of failure to furnish valid business documents for, inter alia, a) change in your authorized representative, b) change of ownership of your business, c) change of address or d) expiry of documents, LWS reserves the right to take such necessary action as it may deem fit or terminate your registration forthwith at its sole discretion.
- You will abide by all the applicable laws, rules and / or regulations and keep LWS indemnified against any damage, loss and claims arising out of your negligent acts or omissions. You agree to be bound by this T&Cs and waive any right to claim ambiguity in terms & conditions of this T&Cs. LWS does not provide any warranties with regard to the quality or fitness for any purpose of the product available in the Stores. You shall not offer any cash to any LWS employee, agent and / or representative, in case of contrary, you shall be responsible for any loss or damage arising thereof.
- LWS shall not be responsible or liable for any failure to fulfil its obligations, if such failure is on account of force majeure event. For the purpose of this T&Cs, force majeure event shall mean such unforeseeable occurrences beyond the reasonable control of LWS including but not limited to Acts of God, natural catastrophes, frequency interference from external source, epidemics, earthquakes; strikes and blockades either by LWS personnel or others affecting this T&Cs; war or war-like conditions, mobilization, revolutions or riots, acts of public enemy, sabotage, terrorism; restriction by or actions, omissions or interventions of government including but not limited to changes in laws, regulations or import / export, security restrictions; disconnection or deterioration of service and/or supply by LWS's supplier.

- Data protection is an important subject to LWS. You consent and acknowledge that any personal data, which you provide while registering with LWS, may be used by LWS in accordance with applicable data protection laws and regulations. - You acknowledge and agree that LWS shall have the right to amend the terms and conditions of this T&Cs at its sole discretion without giving any notice. Such amended terms shall be effective immediately and any other terms and conditions agreed any time before such amendment shall stand null and void. You may visit our website for the updated T&Cs.
- You warrant, represent and agree that all the information provided by you to LWS is true, correct and complete in all respects and do not contain any untrue statement of any fact and no omission has been made of any fact that is directly or indirectly connected therewith or which makes any of the representations misleading and you will keep LWS indemnified against any damages, claims, penalties and losses arising thereof. You acknowledge that LWS has executed this T&Cs on the basis of, and in full reliance on, each of the aforesaid representations and warranties.
- LWS and its suppliers and licensors may make available various products. Before you act in reliance on any product, you should confirm any facts that are important to your decision. LWS makes no warranty as to the reliability, accuracy, timeliness, usefulness, or completeness of any product. If you find an error or notice something that does not look quite right in the Store, we would appreciate it, if you let us know by notifying as per para. 20 above. Your feedback is a big part of what helps LWS to get better at helping you. No products related to health, wellness, prescriptions, or pharmaceuticals are intended to substitute for the diagnosis, treatment and advice of a medical professional, and such products do not cover all possible uses, precautions, side effects, and interactions, and should not be construed to indicate that any drug is safe or effective. LWS assumes no responsibility for any consequence relating directly or indirectly to any action or inaction you take based on the products.
- This T&Cs shall be governed by the laws of India and any dispute pursuant hereto shall be subject to exclusive jurisdiction of courts at New Delhi.
- You consent that LWS may send communications including but not limited to information regarding Stores, upcoming offers via email, messages, call or business letters for the duration of your membership with LWS. In case you do not wish to receive any such communication from LWS, please send an email to contactus@cpwi.in stating the medium on which you wish to discontinue receiving the communications.
- You agree that you have read the above terms and conditions and will abide by the aforesaid terms and conditions in entirety.
